bind.co Terms of Service

These Terms of Service ("Terms") govern access to and use of bind.co ("bind," "we," "our," "us"). By using bind, you agree to these Terms.

bind is infrastructure for user-authorized inbox data. These Terms describe how the system operates, how data is processed, and how responsibility is allocated.

1. Definitions

Applies to All

  • End User: the individual whose inbox is connected to bind.
  • Developer / Application ("App"): a third party that integrates with bind and requests access to data for an End User.
  • Developer Agreement: any separate agreement, order form, or commercial terms governing a Developer's use of bind.
  • Authorization: an End User's explicit permission for bind to provide an App access to specified data.
  • Scope: the categories, sources, and limits of data an End User authorizes an App to access.
  • Outputs: structured data, classifications, confidence signals, provenance metadata, and any scoped retrieval results generated by bind in response to an authorized request, excluding raw inbox contents except where explicitly returned under an approved Scope.

2. What bind Is — and Is Not

Applies to All

bind operates infrastructure and maintains records as a neutral system of record for authorization and access, including:

  • End User authorization events
  • access requests and scope controls
  • structured Outputs derived from inbox contents
  • provenance and audit history

bind does not:

  • make decisions for End Users or Apps
  • certify that information is true, complete, or authentic
  • validate the legal or factual validity of documents
  • provide legal, financial, tax, or compliance advice
  • approve, deny, or adjudicate downstream outcomes

bind provides infrastructure and records—not outcomes.

3. Parties and Responsibilities

Applies to All

  • End Users decide whether and what they authorize.
  • Developers/Apps control their products, workflows, representations, and regulatory compliance.
  • bind records Authorization, applies technical controls designed to enforce Scope, and provides Outputs within authorized boundaries.

Nothing in these Terms creates any agency, partnership, joint venture, or fiduciary relationship between bind and any End User or Developer.

End User Terms

4. Authorization and User Agency

Applies to End Users

By authorizing access, you permit bind to process inbox contents as necessary to produce Outputs and provide an App access to the Scopes you approve.

You may review, approve, decline, or revoke Authorization at any time.

5. Review and Approval for Sensitive Requests

Applies to End Users

Some requests are broad or sensitive by nature (for example, unusually broad access or sensitive document categories). For such requests, bind may, at its discretion, require additional review and explicit approval.

bind may deny, limit, or require clarification of requests that are insufficiently scoped or present elevated risk.

6. Revocation, Suspension, and Termination

Applies to End Users

You may revoke Authorization at any time.

Following revocation, bind will cease providing future access under that Authorization. Apps are required to stop requesting new data under the revoked Authorization.

bind may suspend or terminate End User access where necessary to address abuse of the service (including attempts to circumvent technical controls or fraudulent authorization), security risk, or legal obligation.

Authorization history and audit records may be retained to preserve integrity, security, and accountability.

7. Time-Bound Nature of Outputs

Applies to End Users

Outputs reflect inbox contents as observed at a specific point in time. Inbox contents may change after that point. bind does not undertake to retroactively reconcile prior Outputs with subsequent inbox changes.

Developer / App Terms

8. Scope, Use, and Downstream Responsibility

Applies to Developers/Apps

You must:

  • request only Scopes necessary for a clear, disclosed purpose
  • present requests to End Users accurately
  • use Outputs only for the purpose disclosed at Authorization
  • comply with all applicable laws and regulations

Developers may store Outputs as necessary to operate their applications. Once Outputs are delivered, Developers are responsible for their own retention, deletion, and compliance obligations.

Upon revocation of Authorization, Developers must cease use of and delete previously received Outputs, except where retention is required to comply with applicable law or regulatory obligations. bind does not control or warrant downstream deletion within Developer systems.

9. Prohibited Use

Applies to Developers/Apps

You may not:

  • bypass or attempt to expand authorized Scope
  • scrape or bulk-exfiltrate data
  • misuse credentials or tokens
  • abuse rate limits
  • conduct unauthorized security testing

bind may restrict or suspend access to protect End Users, system integrity, and security.

10. Indemnification

Applies to Developers/Apps

Developers agree to indemnify bind against third-party claims arising from misuse of Outputs, misrepresentation to End Users, regulatory non-compliance, or downstream decisions.

Developer indemnification will not apply to the extent a third-party claim arises solely from bind's material breach of these Terms or bind's negligence.

bind provides limited reciprocal indemnification for claims arising solely from bind's material breach or negligence, subject to the limitations and caps set forth in the applicable Developer Agreement or Order Form.

Shared Infrastructure Terms

11. Scope Controls and System of Record

Applies to All

bind applies technical controls designed to enforce Scope and maintains records of:

  • requests
  • Authorizations
  • access events
  • Outputs produced

To produce authorized Outputs, bind may process inbox contents as necessary, including historical messages and attachments. Apps are intended to receive only scoped Outputs and never direct access to the full inbox.

12. Provenance and Context

Applies to All

bind may provide metadata such as source indicators, timestamps, extraction context, and confidence signals. These explain how information was derived, not whether it is authentic or valid.

13. Probabilistic Processing

Applies to All

bind uses automated systems and models. Outputs may be probabilistic, may vary over time, and identical inputs may not always produce identical Outputs. bind does not guarantee determinism.

14. Confidence Signals

Applies to All

Confidence or certainty indicators reflect model-level extraction certainty only. They are not guarantees of accuracy, authenticity, or suitability.

15. No Warranties

Applies to All

Outputs are provided "as available." bind disclaims warranties of accuracy, completeness, currency, non-infringement, authenticity, or fitness for a particular purpose.

16. Reliance and Decision-Making

Applies to All

Outputs are intended to inform workflows, not decide them. End Users and Apps remain responsible for judgment, validation, and compliance.

17. Fraud and Third-Party Content

Applies to All

bind does not undertake fraud detection and has no obligation to identify forged or misleading content. Validation and verification are the responsibility of Apps.

Nothing in this section limits bind's ability to comply with lawful requests, cooperate with authorities where required, or fulfill incident response obligations.

18. No General Duty to Monitor

Applies to All

bind does not undertake a general duty to monitor inbox contents for legality, accuracy, or compliance.

19. Security Safeguards

Applies to All

bind maintains safeguards designed to be reasonable and appropriate to the nature of the service, consistent with industry-standard practices. No system is breach-proof.

20. Third-Party Dependencies

Applies to All

bind relies on third-party services and is not responsible for upstream outages, changes, or limitations beyond its reasonable control.

21. Availability, Changes, and Versioning

Applies to All

bind does not guarantee uninterrupted service. For material, breaking API changes affecting production use, bind will use commercially reasonable efforts to provide at least 90 days' notice where practicable. Non-breaking changes may occur without notice.

22. Beta Features

Applies to All

Beta or experimental features may change or be discontinued and are provided without additional assurances.

23. Audit and Transparency

Applies to All

bind may, subject to reasonable limits and confidentiality obligations, provide access to Authorization records, access history, and provenance information.

24. Data Use; Aggregated and Anonymized Data

Applies to All

bind does not sell End User data and does not use it for advertising.

bind may use aggregated or anonymized data, which cannot reasonably be linked back to an End User, for service improvement, benchmarking, security, and abuse detection.

25. Data Retention and Deletion

Applies to All

Outputs are retained to support ongoing authorized use and are retained for as long as the applicable Authorization remains active, unless earlier deletion is requested by the End User.

Upon deletion:

  • individual-level Outputs are removed from active systems
  • only aggregated or anonymized data may persist
  • such aggregated or anonymized data may be used for service improvement, security, and abuse detection

Authorization records, access logs, and audit history may be retained as necessary to preserve integrity, security, and legal accountability.

26. Subprocessors and Cross-Border Processing

Applies to All

bind may process data across jurisdictions and use subprocessors. Applicable cross-border transfer mechanisms will be described in a Data Processing Addendum when available.

27. Incident Response

Applies to All

bind maintains an incident response process designed to meet applicable legal obligations.

28. Fees and Commercial Terms

Applies to Developers/Apps

Fees and payment terms are governed by the applicable Developer Agreement or Order Form, not these Terms.

29. Intellectual Property and License

Applies to All

bind retains all right, title, and interest in and to the bind platform, systems, software, models, schemas, processing methods, and derived metadata (including confidence signals and classifications).

Outputs are proprietary service artifacts of bind, generated by the bind service, subject to the limited licenses granted in these Terms and any applicable Developer Agreement.

End Users retain any rights they may have in their underlying inbox content.

Subject to these Terms and any applicable Developer Agreement, bind grants Developers a limited, non-exclusive, non-transferable license to use Outputs solely for the authorized purpose disclosed to the End User. No ownership rights in Outputs or bind systems are transferred.

30. Limitation of Liability

To the maximum extent permitted by law, bind will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, even if advised of the possibility.

For Developers, bind's total liability arising out of or relating to these Terms is capped as set forth in the applicable Developer Agreement or Order Form.

For End Users, bind's total liability for direct damages is limited to the greater of fees paid to bind in the preceding twelve months or CAD $100, except where liability cannot be limited under applicable law.

Nothing in these Terms limits liability that cannot be limited under applicable consumer protection law.

31. Force Majeure

Applies to All

bind will not be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, labor disputes, government actions, or failures of third-party infrastructure.

32. Termination by bind

Applies to All

bind may terminate these Terms or discontinue all or part of the service at any time, with or without notice, where permitted by law. Upon termination, access to the service may end immediately, and Sections intended to survive will survive.

33. Governing Law and Consumer Protections

Applies to All

These Terms are governed by the laws of Ontario, Canada. Nothing in these Terms limits End User rights that cannot be waived under applicable consumer protection law.

34. Survival

Applies to All

Sections relating to intellectual property, indemnification, limitation of liability, data retention, audit records, governing law, and any provisions which by their nature should survive, survive termination or expiration of these Terms.

35. Miscellaneous

Applies to All

These Terms constitute the entire agreement regarding the subject matter hereof. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent, except as permitted by law.
